On June 15, 2010, the Audit Committee of the Company’s Board of Directors, with Deborah Harmon abstaining, approved Ms. Harmon’s investment and executive participation in Artemis Real Estate Partners LLC (“Artemis”), a real estate investment firm co-founded by Ms. Harmon which manages institutional, third party capital in a variety of real estate strategies. The Audit Committee also waived the Company’s Code of Legal and Ethical Conduct requirement for prior approval of the Audit Committee. The Audit Committee specified that such approval and waiver would be retroactive to the date of Ms. Harmon’s initial investment in Artemis. |
